Terms of Use

These Terms of Use (“Terms“) form a legally‑binding agreement between AMV Consulting LLC (doing business as SmileInspector, “we“, “us“, “our“) and you (either an individual or the entity you represent) governing your access to and use of https://smileinspector.io and any related marketing sub‑domains (collectively, the “Website“).  If you do not agree to all of these Terms, you must not use the Website.

Important: Use of SmileInspector software, SDKs, APIs, paid cloud services, web portal, or related software is governed by separate license or terms of use agreements.  In the event of conflict, those license terms prevail over these Website Terms.

1  Eligibility & user representations

You represent and warrant that you:

  1. are at least 18 years old (or the age of majority in your jurisdiction);

  2. have the legal capacity to enter into these Terms; and

  3. will comply with applicable law and these Terms while using the Website.

2  Scope of permitted use

The Website and its content (text, graphics, demos, downloads, documentation, branding) are provided for informational purposes only.  You may:

  • view and cache pages in a standard web browser; and

  • download or print content solely for personal, non‑commercial, or internal business reference.

You must not:

  • republish, sell, rent, license, or commercially exploit Website content;

  • remove or modify copyright, trademark, or proprietary notices; or

  • use automated scraping, data‑mining, or similar bots without our written consent.

3  Third‑party services & links

The Website may embed or reference third‑party services such as Google Analytics 4, Meta Pixel, LinkedIn Ads, Microsoft Clarity, FullStory, Mixpanel, and HubSpot.  Your interactions with those services are governed by their own terms and privacy policies.  We do not control and are not liable for third‑party content or practices.

4  Acceptable‑use policy

You agree not to:

  1. interfere with Website security, integrity, or availability;

  2. upload or transmit malware, viruses, or harmful code;

  3. attempt unauthorised access to any systems or data;

  4. harass, defame, or harm any person or entity;

  5. misrepresent your identity or affiliation when submitting forms; or

  6. violate any applicable law or intellectual‑property right.

We may suspend or terminate access (see § 11) if you breach this policy.

5  Intellectual property

All content on the Website and the SmileInspector marks are owned by AMV Consulting LLC or its licensors and are protected by copyright, trademark, and other laws.  No license is granted except as expressly set out in § 2.

6  Privacy & cookies

Personal data is processed as described in our Privacy Policy and Cookie Policy, which are incorporated by reference.

7  Disclaimer of warranties

The Website is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including merchantability, fitness for a particular purpose, non‑infringement, accuracy, or uninterrupted availability.  Your use is at your sole risk.

8  Limitation of liability

To the fullest extent permitted by law, AMV Consulting LLC and its directors, employees, and agents shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising out of or relating to the Website, even if advised of the possibility.  Our aggregate liability for direct damages shall not exceed USD 100.

Some jurisdictions do not allow certain limitations; in such cases, liability is limited to the smallest amount permitted by law.

9  Indemnification

You will defend, indemnify, and hold harmless AMV Consulting LLC and its affiliates from any claim, loss, or demand (including reasonable attorneys’ fees) arising out of or relating to: (i) your use of the Website; (ii) your breach of these Terms; or (iii) your violation of any law or third‑party right.

10  Force majeure

We are not liable for any delay or failure resulting from causes beyond our reasonable control, including natural disasters, war, cyber‑attacks, labour disputes, or utility outages.

11  Suspension & termination

We may suspend or terminate your access to the Website at any time, with or without notice, for conduct that we believe violates these Terms or is otherwise harmful.  Provisions which by their nature should survive (e.g., §§ 5, 7–10, 13–15) shall survive termination.

12  Governing law & dispute resolution

These Terms are governed by the laws of the State of Washington, USA, without regard to conflict‑of‑law principles.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Website shall be resolved by binding arbitration in Redmond, Washington, administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.  Each party will bear its own costs; the prevailing party may recover reasonable attorneys’ fees.  Nothing prevents either party from seeking injunctive relief in a court of competent jurisdiction to protect intellectual‑property rights.

13  Modifications to Terms

We may update these Terms at any time.  The “Last updated” date indicates the latest revision.  Material changes will be posted on the Website.  Your continued use after changes become effective constitutes acceptance of the revised Terms.

14  Severability & waiver

If any provision of these Terms is held unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force.  Our failure to enforce any right shall not constitute a waiver.

15  Entire agreement

These Terms, together with any separate license agreements and policies referenced herein, constitute the entire agreement between you and us regarding the Website and supersede all prior or contemporaneous communications.
